These conditions have been laid down for a better understanding of the rights and responsibilities due unto the Service and its client, bonded with a mutual, pre-project contract.

Your access to and use of the Service is stipulated upon your acceptance of and compliance with these Terms. These Terms apply equally to all users, visitors and others who wish to access or use the Service.
By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the Terms, either partially or wholly, you do not have permission to access the Service.

Simply Explainer reserves the right to revise these Terms at any time and will post the updated Terms and notice of the changes on this Site. You are advised to regularly review these Terms. Your continued use of this Site after the changes have been posted means that you agree to the updated Terms.

General Conditions & Clauses

  • Payment will be 50% advance (post-contract) and 50% at the time of beta preview delivery. Once all clearance is done, you’ll be delivered the finalized video in full.
  • Final deliverable video will be of 1920X1080 resolution, in 16:9 frame aspect ratio. The standard video format is MP4, although other formats can also be managed in accordance with client’s needs.
  • Simply Explainer would share all kinds of raw files or project source files, upon client’s request, once the final video has been delivered.
  • Final invoice will be handed over only after 100% payment settlement.
  • Subtitles/captions, if required, will be charged additionally.
  • Taxes will be applicable additionally.
  • By registering and entering your email address & phone number you agree to be contacted both by email and text message.

Limited License & General Usage

Certain information, content, documents and services provided on and through this Site, including logos, graphics and images that are not your feedback are provided to you by Simply Explainer and are the copyrighted and/or trademarked work of Simply Explainer or its contributors.
Simply Explainer grants you a personal, limited, non-exclusive and non-transferable license to display our work on your personal computer and to use this Site solely for your personal use. You acknowledge and agree that you have no right to modify, edit, copy, reproduce, create derivative works of, reverse engineer, alter, enhance or in any way exploit any of the works in any manner.
This limited license stands dissolved automatically, without any prior notice to you, if you breach any of these Terms. Upon dissolution of this limited license, you agree to immediately destroy any downloaded or printed works. Except as granted herein, you acknowledge that you have no right, title or interest in or to this Site or any works.

Third Party Content Restrictions

Our services may contain certain information, content and links to third-party websites, advertisers, services or other events or activities that are not owned or controlled by Simply Explainer. The Third Party Content is, in each case, the copyrighted and/or trademarked work of the creator/licensor. You agree to only display the Third Party Content on your personal computer solely for your personal use. You acknowledge and agree that you have no right to download, cache, reproduce, modify, display, edit, alter or enhance any of the Third Party Content in any manner unless you have permission from the owner of the Third Party Content.
We do not endorse or assume any responsibility for any third-party sites, information, materials, content, products or services. If you access a third-party website through our services, you do so at your own risk.

Your Feedback

If you provide Simply Explainer with any suggestions, information, ideas, or feedback concerning the Site, works and/or any other content, products or services, such feedback will be the sole and exclusive property of Simply Explainer. You hereby agree to assign to Simply Explainer all right, title and interest worldwide in and to the feedback, and all related intellectual property rights. You acknowledge that you are responsible for the information (including, but not limited to, feedback), opinions, messages, comments, and other content or material that you submit or upload to the Site.

Member Account, Password, and Security

You must be a registered user and set up an account to access our Service. When you register and activate an account, you must complete the registration process by providing us with current, complete and accurate information as prompted by the applicable registration fields. You are entirely responsible for maintaining the confidentiality of your account and password. Furthermore, you are entirely responsible for all activities that occur under your account.

You agree to notify Simply Explainer immediately of any unauthorized use of your account or any other breach of security by contacting [email protected]. Simply Explainer will not be liable for any loss or liability that you may incur or suffer resulting from trespassing of your password or account, either with or without your knowledge. You may not use anyone else’s account at any time, without the permission of the account holder. You should log out from your account at the end of each use.

The Simply Explainer name and logo are trademarks of Simply Explainer. Other trademarks, names and logos on this Site are the property of their respective owners. Unless otherwise specified in these Terms, all information and screens appearing on this Site, including documents, services, site design, text, graphics, logos, images and icons are the sole property of Simply Explainer or its licensors. Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of United States of America without regard to any conflict of law principles.

Disputes & Jurisdiction

This site is controlled and operated by Simply Explainer from its offices within the Arizona State. Simply Explainer makes no representation that materials on the Site are appropriate or available for use in other locations. Those who choose to access this site from other locations do so on their own consent and are responsible for compliance with local laws to the extent they are applicable.
This agreement shall be governed by, construed and enforced in accordance with the laws of the United States of America. This is the entire agreement between the parties relating to the matters contained herein and shall not be modified except by Simply Explainer.
